1. Introduction
1.1 Agreement
These Terms and Conditions (“Terms”) govern your use of all services offered by Brill Motors (“Brill Motors,” “we,” “our,” or “us”). These services include our website, mobile platforms, showroom services, vehicle listings, import facilitation, financing assistance, warranty support and any associated services (“Services”). By accessing or using our Services, you agree to comply with and be legally bound by these Terms.
1.2 Nature of Services
Brill Motors provides services related to the buying and selling of both used and new motor vehicles, importation of vehicles on behalf of clients, vehicle financing facilitation through partner banks, inspection support, documentation assistance, and after-sale services such as warranty coverage.
1.3 Acceptance of Terms
If you do not agree to these Terms, you must not access or use our Services. By continuing to use our Services, you confirm your acceptance of these Terms in full.
2. Definitions
For clarity and consistency across this document, the following definitions shall apply:
- Buyer: Any person or entity purchasing or intending to purchase a vehicle or service from Brill Motors.
- Seller: Any person or entity selling a vehicle to Brill Motors or through Brill Motors.
- User: Any individual or entity using the Services, whether as a Buyer or Seller.
- Vehicle: Any motor vehicle listed, sold, imported, or handled through Brill Motors.
- Services: All offerings by Brill Motors including sales, imports, financing facilitation, inspections, logistics, documentation, and related support.
- Agreement: These Terms and any related written agreements executed during a sale.
- Purchase Price: Total amount payable for a vehicle, including deposits, balances, fees, and applicable taxes.
- Third-Party Provider: Banks, insurers, transporters, clearing agents or any external service provider engaged to support the transaction.
3. Buyer and Seller Responsibilities
3.1 Eligibility
You must be at least 18 years old and legally competent under Kenyan law to enter into a binding agreement.
3.2 Accuracy of Information
Users must provide truthful and complete information during inquiries, purchases, sales, financing processes, or import requests.
3.3 Verification and Due Diligence
Buyers are responsible for verifying the details of any vehicle, including year of manufacture, mileage, engine and chassis numbers, and logbook information. Brill Motors may assist with checks but does not guarantee accuracy beyond what is disclosed.
3.4 Legal Compliance
Users must comply with all Kenyan laws regarding vehicle purchase, registration, insurance, roadworthiness, importation, and taxation.
4. Vehicle Listings, Sales, and Purchase Terms
4.1 Vehicle Information
Brill Motors commits to providing accurate details about each listed vehicle to the best of our knowledge. This includes model, year, mileage, condition, and any known issues.
4.2 Sale Agreement
Every sale will be accompanied by a written Vehicle Sale Agreement clearly stating the vehicle details, purchase price, deposit (if any), payment timelines, delivery terms, and responsibilities for documentation.
4.3 Ownership and Logbook Transfer
Ownership is transferred only upon full payment. Buyers are responsible for submitting transfer documents, paying government transfer fees, and ensuring timely registration into their name.
4.4 Imported Vehicles
Where Brill Motors imports a vehicle on a client’s behalf, we will oversee documentation, shipping, clearance, and handover. The Buyer must pay all import-related costs including duty, taxes, shipping, inspection, port charges, and handling fees.
5. Vehicle Warranty
5.1 Warranty Coverage
Selected vehicles from Brill Motors come with an 8-month warranty, which covers specific mechanical or structural issues as identified in the warranty policy provided during the sale.
5.2 Warranty Limitations
The warranty does not apply to:
- Damage caused by accidents, misuse, or negligence.
- Normal wear and tear.
- Non-mechanical components unless specified.
- Modifications carried out by unauthorized service providers.
5.3 Vehicles Sold “As-Is”
Vehicles sold without warranty (“as-is”) are purchased at the Buyer’s risk. Brill Motors is not responsible for defects discovered after handover.
6. Financing, Insurance, and Third-Party Services
6.1 Financing Facilitation
Brill Motors may introduce Buyers to third-party banks and financiers. Approval, interest rates, repayment terms, and eligibility decisions are made solely by the financing institution.
6.2 Third-Party Liability
Brill Motors is not liable for:
- Financing rejection or delays;
- Insurance underwriting decisions;
- Actions, errors, or omissions of any third-party provider.
6.3 Consent to Share Information
By seeking financing or insurance assistance through Brill Motors, you authorize us to share necessary personal and transactional information with the relevant third-party provider.
7. Payments, Fees, and Taxes
7.1 Payment Terms
Payments may be made via bank transfer, mobile money, cheque, or other approved channels. A vehicle remains the property of the Seller or Brill Motors until full payment is received.
7.2 Deposits
Deposits are only refundable under conditions specified in the sale agreement. Failure to complete payment within the agreed period may result in forfeiture.
7.3 Additional Costs
Buyers are responsible for:
- Registration fees
- Logbook transfer charges
- Number plates
- Insurance
- Inspection or roadworthiness certification
- Import duty and port fees (for imported units)
8. Representations and Warranties
8.1 Seller Representations
The Seller (or Brill Motors) warrants that:
- They are the lawful owner with the right to sell the vehicle;
- The vehicle is free of undisclosed encumbrances;
- Information provided about the vehicle is true to the best of their knowledge.
8.2 Buyer Obligations
The Buyer agrees to:
- Conduct independent inspection where necessary;
- Pay the agreed purchase price and associated fees;
- Comply with all regulatory requirements after handover.
9. Limitation of Liability
9.1 “As-Is” Disclaimer
Except where warranty applies, all vehicles are sold on an “as-is, where-is” basis.
9.2 No Indirect Liability
Brill Motors is not responsible for indirect losses including:
- Loss of income
- Loss of business
- Costs of alternative transport
- Damages arising from use or inability to use a purchased vehicle
9.3 Third-Party Links and Services
We do not guarantee the accuracy, safety, or reliability of third-party services or content.
10. Importation Terms
10.1 Import Facilitation
For import-on-behalf services, Brill Motors will coordinate shipping, customs clearance, documentation, inspection, and port logistics.
10.2 Customer Responsibilities
The Buyer must:
- Provide accurate personal details;
- Pay all duties, taxes, and port-related fees;
- Inspect the vehicle upon arrival and report any discrepancies immediately.
10.3 Delivery and Condition
Risk transfers to the Buyer once the vehicle is delivered at the agreed location and acknowledged as received.
11. Indemnification
You agree to indemnify and hold harmless Brill Motors, its employees, agents, and affiliates against any claims, liabilities, losses, damages, or expenses arising from:
- Your breach of these Terms;
- Misrepresentation of information;
- Misuse of a purchased vehicle;
- Disputes involving third-party providers.
12. Force Majeure
Brill Motors is not liable for delays or failure to perform obligations caused by events beyond our control, including natural disasters, strikes, government restrictions, transport disruptions, pandemics, or any unforeseeable circumstances.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the Republic of Kenya.
13.2 Dispute Procedure
In the event of a dispute:
- Parties shall first attempt to resolve the issue amicably.
- If unresolved, the matter may be referred to mediation.
- If mediation fails, either party may file a claim in a court of competent jurisdiction in Kenya.
14. Severability
If any portion of these Terms is deemed illegal or unenforceable, the remaining sections will remain valid and enforceable.
15. Amendments
Brill Motors may revise these Terms at any time. Updated Terms will be published and will take effect immediately upon posting. Continued use of our Services constitutes acceptance of any updated Terms.
